Acceptance of terms
These Terms of Use ("Terms") form a binding agreement between your business ("you," "your company," or "the Merchant") and NextGenAI, the company that builds and operates Orvion Fin ("Orvion Fin," "we," "us," or "our"). By creating a business account, funding your wallet, or sending a payout through Orvion Fin, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy.
If you're accepting these Terms on behalf of a company or other legal entity, you confirm that you have the authority to bind that entity, and "you" in these Terms refers to that entity.
Who can use Orvion Fin
Orvion Fin is built for registered businesses operating in India that pay freelancers or independent contractors located outside India. To use the platform, your business must:
- Be a legally registered entity with a valid GST registration and PAN.
- Have an authorised signatory able to complete verification on the company's behalf.
- Hold a business bank account in India that can be linked to your Orvion Fin wallet.
- Not be, and not be owned or controlled by, a person or entity on any applicable sanctions or watch list.
We reserve the right to decline or delay onboarding any business that does not meet these criteria, or where our verification checks raise concerns we're unable to resolve.
Your account & verification
Creating a wallet requires you to submit company verification documents, which currently include your GST certificate, PAN card, a cancelled cheque, proof of registered address, and your certificate of incorporation. Verification is typically completed within 1–2 business days once all documents are submitted; your wallet is usable immediately, but payouts above certain limits may be held until verification is complete.
You're responsible for keeping your account credentials confidential and for all activity that happens under your account. Tell us immediately if you suspect unauthorised access — you can reach us through the contact details in Section 15.
What Orvion Fin does
Orvion Fin lets you fund a wallet in Indian Rupees and use that balance to pay freelancers in other countries, in their local currency, through one of the payout rails we support — currently PayPal, Airtm, and UPI (for freelancers with Indian bank accounts). Before you confirm any payout, we show you the live exchange rate, our platform fee, applicable GST, and the exact amount your freelancer will receive.
We act as a facilitator between your wallet and the payout rail you choose. We are not a bank, and your wallet balance is not a savings or deposit account — see Section 9 for how wallet funds are held.
Fees & charges
Our pricing is the same regardless of destination country or payout rail:

Every fee is calculated and shown on the payout preview screen before you confirm — nothing changes between what you see and what's debited. Fees may change with notice; see Section 14.
Your responsibilities
When you use Orvion Fin, you agree to:
- Provide accurate freelancer payment details, and confirm you have a genuine, documented working relationship with each freelancer you pay.
- Keep your company verification documents current and tell us promptly if any of your business details change.
- Use the platform only for legitimate business payouts, not for personal transfers or unrelated third-party payments.
- Comply with applicable Indian foreign exchange regulations (including FEMA) and any reporting obligations that apply to your payouts.
Prohibited use
You may not use Orvion Fin to:
- Pay full-time employees as a substitute for payroll, or make payments unrelated to freelance or contractor work.
- Send funds to any person, entity, or country subject to applicable sanctions.
- Launder money, finance illegal activity, or disguise the true origin or purpose of a payment.
- Attempt to reverse-engineer, probe, or interfere with the security of the platform.
- Use another business's account or credentials without authorisation.
We monitor payouts for patterns consistent with the activity above and may pause, request more information about, or reverse a payout that appears to breach this section — we'll always explain why.
Payout rails & sanctions
Payouts are settled through third-party rails — PayPal, Airtm, and UPI — each of which has its own terms and may independently decline, delay, or reverse a transaction. Orvion Fin is not responsible for delays or failures caused by these third parties, though we'll help you resolve them where we can.
We screen payouts against applicable sanctions lists before they're sent. A payout that matches a screening flag will be held pending manual review, and may be declined and refunded to your wallet if it cannot be cleared.
Wallet balance & refunds
Funds you add to your wallet are held for the purpose of funding payouts and are not invested, lent, or used for any other purpose. Unspent wallet balance can be withdrawn back to your linked bank account at any time, minus any applicable withdrawal charge shown at the time.
If a payout fails after your wallet has been debited, the full amount — fees included — is credited back to your wallet automatically, typically within one business day. Wallet top-ups themselves are not refundable once converted into a completed payout.
Suspension & termination
We may suspend or close your account if we reasonably believe you've breached these Terms, if required by law or a regulator, or if verification checks cannot be completed. Where possible, we'll give you notice and a chance to respond first. On closure, any remaining wallet balance is returned to your linked bank account after any pending payouts and required checks are settled.
You may close your account at any time by contacting us, once all pending payouts have cleared.
Disclaimers & limitation of liability
Orvion Fin is provided "as is." We work to keep the platform accurate, available, and secure, but we don't guarantee it will be uninterrupted or error-free, and exchange rates shown are indicative until a payout is confirmed.
To the extent permitted by law, NextGenAI's total liability arising from your use of Orvion Fin is limited to the fees you paid us in the three months before the claim arose, except where liability cannot be limited by law (for example, in cases of fraud or gross negligence on our part).
Intellectual property
Orvion Fin, its interface, and the NextGenAI name and marks are owned by NextGenAI. These Terms don't grant you any ownership in the platform — only a limited, revocable right to use it for your business's payouts, subject to these Terms.
Governing law & disputes
These Terms are governed by the laws of India. Courts at Bengaluru, Karnataka have exclusive jurisdiction over any dispute arising from these Terms, without prejudice to any mandatory consumer or regulatory forum available to you by law.
Before pursuing formal proceedings, we ask that you first raise the issue through our grievance process in Section 15 — most disputes are resolved faster that way.
Changes to these terms
We may update these Terms as Orvion Fin's features, fees, or legal obligations change. For material changes — including fee changes — we'll notify you by email and in-app at least 14 days before they take effect. Continuing to use Orvion Fin after that date means you accept the updated Terms.
Grievance officer & contact
If something's gone wrong with a payout or your account, raise it from your dashboard's support tab first — most issues are resolved there within one business day. For anything unresolved, our designated Grievance Officer is available as below, in accordance with applicable Indian IT regulations.
